Terms of Use

Effective Date: [DATE]
Last Updated: [DATE]

These Terms of Use (“Terms”) govern access to and use of Strike Timesheet, including its websites, applications, APIs, software, integrations, timekeeping functionality, compliance tools, reports, artificial-intelligence-assisted features, and related services (collectively, the “Service”).

The Service is provided by [LEGAL COMPANY NAME], a [STATE] [ENTITY TYPE] (“Company,” “we,” “us,” or “our”).

By creating an account, accessing or using the Service, clicking to accept these Terms, or allowing personnel to use the Service on behalf of an organization, you agree to these Terms.

If you use the Service on behalf of a company, government contractor, subcontractor, partnership, joint venture, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “Customer” and “you” refer to that organization.

If you do not agree to these Terms, do not use the Service.

1. Purpose of the Service

The Service provides software intended to assist organizations with functions that may include:

(a) employee and contractor timekeeping;

(b) labor charging and charge-code administration;

(c) employee certifications and supervisor approvals;

(d) audit trails and historical records;

(e) government contract, award, project, CLIN, task, labor-category, or related data management;

(f) integration with payroll, accounting, enterprise resource planning, human resources, project-management, and other systems;

(g) review and analysis of labor, contract, accounting, payroll, and related records;

(h) government-contracting compliance support;

(i) preparation of reports, supporting documentation, and audit evidence;

(j) retrieval or presentation of publicly available government or commercial information; and

(k) artificial-intelligence-assisted extraction, classification, reconciliation, analysis, and recommendations.

The Service is a software tool. It is not a substitute for the Customer’s accounting system, internal controls, contract-management responsibilities, legal obligations, or professional judgment except to the extent expressly agreed otherwise in a written agreement signed by Company.

2. No Government Affiliation, Approval, or Certification

The Service is an independent commercial product.

Unless expressly stated in a written government authorization applicable to the Service, Company and the Service are not affiliated with, sponsored by, endorsed by, certified by, authorized by, or approved by:

  • the Defense Contract Audit Agency (“DCAA”);
  • the Defense Contract Management Agency (“DCMA”);
  • the U.S. Department of Defense (“DoD”);
  • the Defense Information Systems Agency (“DISA”);
  • the General Services Administration (“GSA”);
  • the Cybersecurity and Infrastructure Security Agency (“CISA”);
  • the National Institute of Standards and Technology (“NIST”);
  • the Federal Risk and Authorization Management Program (“FedRAMP”);
  • the Cybersecurity Maturity Model Certification (“CMMC”) program; or
  • any other federal, state, local, or foreign government agency.

References within the Service or Company materials to DCAA, FAR, DFARS, CMMC, NIST, FedRAMP, DISA, DCMA, government contracting, audit readiness, or other governmental standards or organizations are descriptive only.

Use of the Service does not constitute government certification or approval.

3. No Guarantee of DCAA, FAR, DFARS, CMMC, or Other Compliance

The Service may contain features designed to support practices associated with government-contract accounting, labor charging, timekeeping, internal controls, audit preparation, or other compliance activities.

However, the Service does not guarantee:

(a) compliance with the Federal Acquisition Regulation (“FAR”);

(b) compliance with the Defense Federal Acquisition Regulation Supplement (“DFARS”);

(c) an adequate accounting system;

(d) DCAA acceptance;

(e) DCMA acceptance;

(f) successful completion of an audit;

(g) CMMC certification;

(h) satisfaction of NIST requirements;

(i) compliance with any particular contract clause;

(j) allowability, allocability, or reasonableness of any cost;

(k) correctness of any labor charge;

(l) correctness of indirect rates;

(m) eligibility for payment under a government contract; or

(n) any particular determination by a contracting officer, auditor, government official, prime contractor, assessor, or other third party.

Compliance depends on numerous factors outside the Service, including Customer policies, employee conduct, management practices, accounting systems, contracts, contract clauses, internal controls, recordkeeping, cybersecurity environment, and interpretation of applicable law.

Customer remains responsible for determining the requirements applicable to its organization and contracts.

4. Not Legal, Accounting, Audit, Tax, or Contracting Advice

Information, reports, alerts, recommendations, analyses, classifications, or other outputs provided through the Service are provided for informational and operational purposes.

Company does not act as Customer’s:

  • attorney;
  • accountant;
  • certified public accountant;
  • auditor;
  • tax adviser;
  • contracting officer;
  • government contracts attorney;
  • CMMC assessor;
  • cybersecurity assessor; or
  • other regulated professional adviser.

Customer should consult qualified professionals regarding material legal, accounting, tax, employment, cybersecurity, contractual, audit, or regulatory questions.

No information provided through the Service creates an attorney-client, accountant-client, fiduciary, or other professional relationship.

5. Customer Responsibility for Timekeeping and Labor Charging

Customer is responsible for establishing and enforcing appropriate timekeeping and labor-charging policies.

Users are responsible for accurately recording the work they actually perform.

Customer is responsible for determining:

(a) which employees may charge to particular contracts, projects, tasks, CLINs, or other cost objectives;

(b) which labor categories apply;

(c) whether hours are direct or indirect;

(d) whether labor is allowable, allocable, reasonable, billable, or otherwise appropriate;

(e) proper handling of overtime and uncompensated overtime;

(f) appropriate approval workflows;

(g) payroll treatment;

(h) wage-and-hour compliance; and

(i) reconciliation with accounting, payroll, billing, and other records.

Company is not responsible for inaccurate, fraudulent, incomplete, improper, or unauthorized labor entries submitted by Customer personnel.

6. Electronic Timekeeping Records and Certifications

Customer acknowledges that the Service may create electronic records of:

  • time entries;
  • certifications;
  • approvals;
  • corrections;
  • administrative actions;
  • charge-code changes;
  • account activity; and
  • other events.

By submitting, approving, certifying, correcting, or otherwise taking an action through the Service, a user authorizes Company to record that action electronically.

Customer is responsible for configuring approval and certification processes appropriate for its organization.

An electronic approval or certification reflects the authenticated user's action within the Service. Company does not independently verify whether the underlying time entry or representation is factually correct.

7. Audit Trails and Record Integrity

The Service may maintain historical records and audit logs intended to document changes to timekeeping and related information.

Where Company describes a record as “immutable,” “locked,” “audit-ready,” or using similar terminology, those descriptions refer to the functionality of the Service as documented by Company and should not be interpreted as a legal conclusion regarding evidentiary admissibility, regulatory sufficiency, or government acceptance.

Customer remains responsible for maintaining records for the periods required by applicable law and contract.

8. Accounts

Users must provide accurate account information and maintain the security of their accounts.

Users may not:

(a) share authentication credentials improperly;

(b) impersonate another person;

(c) access another organization without authorization;

(d) bypass security controls; or

(e) use another person's account.

Customer is responsible for actions taken through accounts under its control except to the extent caused by Company's breach of its obligations.

Customer must promptly notify Company at [SECURITY EMAIL] of suspected unauthorized access.

9. Organizational Administrators

Organizations may designate administrators with authority to configure the Service, invite or remove users, configure projects and charge codes, manage integrations, access records, and perform other administrative functions.

Customer is responsible for determining who should receive administrative privileges.

Company may treat instructions from an authorized administrator as instructions from Customer.

The first user associated with an organization may receive provisional administrative access. Customer remains responsible for establishing appropriate long-term administrative ownership.

10. Organization and Government-Entity Information

The Service may attempt to identify or enrich information about Customer using:

  • email domains;
  • company websites;
  • public business information;
  • government databases;
  • third-party commercial data providers;
  • information supplied by Customer; and
  • other lawful information sources.

Such information may be inaccurate, incomplete, stale, or associated with the wrong organization.

Customer must review material information before relying upon it.

Confirmation of an organization within the Service does not establish legal ownership, government registration, corporate status, authorization to contract with the government, or any other legal status.

11. Government Data Sources

The Service may obtain or display information from sources such as SAM.gov, USAspending.gov, federal procurement databases, agency systems, or other public sources.

Company does not control those sources.

Government information may be:

  • delayed;
  • incomplete;
  • erroneous;
  • outdated;
  • subsequently modified;
  • missing award modifications;
  • missing subcontract information; or
  • inconsistent across government systems.

Customer should verify material information against authoritative records.

12. Contracts, Awards, CLINs, and Related Data

The Service may identify or import government awards or contracts based on public information.

Public award information does not necessarily contain the complete contract structure.

In particular, the Service may not reliably obtain:

  • CLINs;
  • SLINs;
  • task structure;
  • labor categories;
  • modifications;
  • funding detail;
  • statement-of-work requirements;
  • subcontract terms;
  • option details; or
  • other operational contract information.

Customer remains responsible for verifying all contract data against the governing contract documents.

13. Uploaded Contracts and Other Documents

Customer may be permitted to upload contracts, subcontracts, task orders, statements of work, modifications, accounting records, payroll records, policies, or other documents.

Customer represents and warrants that it has all rights and permissions necessary to provide such materials to Company for processing.

Uploading a document does not transfer ownership of that document to Company.

Customer retains ownership of Customer Data as described below.

14. Prohibited Sensitive Information

Unless Company expressly agrees otherwise in a written agreement identifying the permitted data category, Customer must not upload, transmit, store, or process through the Service:

(a) classified information at any classification level;

(b) Sensitive Compartmented Information (“SCI”);

(c) Special Access Program information;

(d) Controlled Unclassified Information (“CUI”);

(e) export-controlled technical data subject to ITAR or EAR restrictions requiring controls not expressly supported by the Service;

(f) source-selection information;

(g) contractor bid or proposal information protected by law;

(h) nuclear weapons information or Restricted Data;

(i) protected health information subject to HIPAA;

(j) payment-card information subject to PCI requirements;

(k) Social Security numbers unless expressly supported;

(l) government credentials, passwords, cryptographic keys, or secrets; or

(m) other information for which the Service has not expressly been approved or configured.

The Service must never be used to process classified information.

Customer is responsible for determining the classification and handling requirements applicable to information before submitting it.

15. Federal Contract Information

Certain information relating to government contracts may constitute Federal Contract Information (“FCI”) or otherwise be subject to contractual safeguarding requirements.

Customer is responsible for determining whether its information constitutes FCI and whether use of the Service satisfies applicable safeguarding obligations.

Company makes no representation that the Service satisfies any particular FCI safeguarding requirement except to the extent expressly stated in Company's then-current security documentation or a written agreement with Customer.

16. No ATO, FedRAMP, DISA, or CMMC Status Unless Expressly Stated

Customer must not assume that the Service has:

  • a DoD Authority to Operate;
  • DISA authorization;
  • FedRAMP authorization;
  • FedRAMP equivalency;
  • CMMC certification;
  • a particular NIST implementation;
  • an agency-specific authorization; or
  • any other government security accreditation.

If Company obtains a specific authorization or certification, its scope will be stated expressly in official Company documentation.

Absence of an express statement means Customer should assume that authorization has not been granted.

17. Personally Identifiable Information

The Service may process business-related personal information such as:

  • names;
  • email addresses;
  • job titles;
  • employment relationships;
  • timekeeping records;
  • approval records;
  • IP addresses;
  • device information;
  • login activity; and
  • audit records.

Company processes personal information in accordance with its Privacy Policy, incorporated into these Terms by reference.

Customer represents that it has a lawful basis to provide personal information to Company and to direct Company to process that information.

Customer is responsible for providing any employee notices or obtaining any consents required under applicable law.

18. Customer Data

“Customer Data” means data, documents, records, content, and information submitted to the Service by or on behalf of Customer.

As between Customer and Company, Customer retains ownership of Customer Data.

Customer grants Company a non-exclusive, worldwide, limited right to host, copy, transmit, process, analyze, display, and otherwise use Customer Data solely as reasonably necessary to:

(a) provide the Service;

(b) maintain and secure the Service;

(c) provide support;

(d) comply with Customer instructions;

(e) comply with law; and

(f) perform other activities expressly permitted under these Terms.

If Customer separately and expressly opts in through an organization administrator, Company may use eligible, submitted or approved timekeeping records to calculate aggregate timekeeping-hygiene benchmarks only after the applicable agreement is approved for use. The proposed measures are same-day entry rate, corrections per 100 entries, corrections without a recorded reason, and supervisor approval latency. Benchmark results will use broad employee-count bands and will not include company identities, raw peer records, or exact peer-level distributions. Company will not include labor rates, wages, indirect rates, pricing, proposal effort, award matching, or role-level utilization in these benchmarks.

Customer may opt out at any time. After opt-out, Customer's organization will not contribute to future benchmark calculations and will no longer have access to peer comparisons. This aggregate-use language is proposed draft text and is not effective unless and until the Terms are approved for use.

19. AI and Machine Learning

The Service may use artificial intelligence, machine learning, language models, rules engines, statistical models, or similar technologies.

These technologies may assist with:

  • document extraction;
  • contract analysis;
  • classification;
  • reconciliation;
  • anomaly detection;
  • compliance analysis;
  • recommendation generation;
  • data normalization; and
  • other functionality.

AI-generated outputs may contain errors.

Customer must independently review material AI-generated conclusions before relying on them.

AI output is not authoritative contract interpretation, legal advice, accounting advice, or a government determination.

Where the actual contract conflicts with an AI-generated output, the contract controls.

Where applicable law or authoritative government guidance conflicts with an AI-generated output, the law or authoritative guidance controls.

20. Use of Customer Data for Model Training

Company will not use Customer's private Customer Data, uploaded contracts, employee time records, or confidential Customer information to train generally available artificial-intelligence models without Customer's express authorization.

Company may use de-identified and aggregated telemetry to improve the operation, security, performance, and reliability of the Service, provided such information cannot reasonably be used to identify Customer or an individual.

21. Third-Party AI Providers and Subprocessors

Company may use third-party cloud, identity, analytics, communications, enrichment, artificial-intelligence, storage, or infrastructure providers in operating the Service.

Company may maintain a current list of material subprocessors at [URL].

Third-party services may be governed by their own terms.

Company is not responsible for third-party services except as expressly required by applicable law or a written agreement with Customer.

22. Integrations

The Service may integrate with third-party systems including payroll, HR, accounting, ERP, project-management, identity, and timekeeping platforms.

Examples may include systems provided by Microsoft, Google, Intuit, ADP, Deltek, Unanet, PROCAS, JAMIS, and other providers.

Availability of integrations may change.

Customer authorizes Company to exchange information with integrations that Customer enables.

Customer is responsible for:

  • maintaining valid credentials or authorizations;
  • configuring integrations correctly;
  • verifying imported and exported information; and
  • resolving discrepancies between systems.

Company does not control third-party platforms and is not responsible for changes to their APIs, data, availability, or functionality.

23. Payroll and Employment Matters

Unless expressly stated otherwise, the Service is not a payroll service or employer-of-record service.

Customer remains responsible for:

  • payroll calculations;
  • payment of wages;
  • overtime;
  • employee classification;
  • minimum wage requirements;
  • leave laws;
  • tax withholding;
  • benefits;
  • wage statements;
  • employment records; and
  • compliance with applicable employment law.

Transmission of approved hours to a payroll provider does not relieve Customer of those responsibilities.

24. Customer Review and Reconciliation

Customer must review information transmitted between the Service and payroll, accounting, ERP, billing, and other systems.

Company does not guarantee that third-party systems will interpret imported information correctly.

Customer remains responsible for reconciling its:

  • timekeeping records;
  • payroll;
  • general ledger;
  • job-cost records;
  • indirect costs;
  • billing;
  • invoices; and
  • other financial records.

25. Free Services

Company may offer some or all functionality without charge.

Unless Company enters into a written agreement stating otherwise, free functionality is provided at Company's discretion.

Company may:

  • add or remove features;
  • impose reasonable limits;
  • modify eligibility;
  • change free functionality;
  • discontinue a free offering; or
  • transition functionality to a paid offering.

Where practical, Company will attempt to provide reasonable advance notice of material changes affecting active users.

Nothing on the website should be interpreted as a contractual promise that a free service will remain free forever unless expressly stated in a separately executed agreement.

26. Paid Services

Certain features may require payment.

Additional commercial terms may be stated in:

  • an Order Form;
  • subscription agreement;
  • statement of work;
  • online checkout;
  • enterprise agreement; or
  • other written agreement.

If an executed Order Form conflicts with these Terms, the Order Form controls solely with respect to the conflicting provision.

27. Acceptable Use

Customer may not use the Service to:

(a) violate law;

(b) submit data Customer lacks authority to process;

(c) infringe intellectual-property or privacy rights;

(d) upload prohibited sensitive information;

(e) attempt unauthorized access;

(f) introduce malware;

(g) disrupt the Service;

(h) bypass security or usage restrictions;

(i) reverse engineer the Service except where applicable law expressly permits it;

(j) falsify audit records;

(k) impersonate another user;

(l) manipulate timekeeping records fraudulently;

(m) use the Service to facilitate false claims or fraudulent government billing; or

(n) assist another person in doing any of the foregoing.

28. Compliance With Law

Customer is responsible for complying with laws and contractual requirements applicable to its use of the Service.

This includes, where applicable:

  • government-contract requirements;
  • employment laws;
  • privacy laws;
  • export-control laws;
  • cybersecurity obligations;
  • records-retention requirements; and
  • contractual restrictions.

29. Export Controls and Sanctions

Customer may not use the Service in violation of U.S. export-control or sanctions laws.

Customer represents that it is not prohibited from receiving the Service under applicable U.S. sanctions or export-control laws.

Customer must not use the Service to transmit export-controlled information unless such use is expressly permitted by Company and Customer has satisfied applicable requirements.

30. Security

Company will maintain administrative, technical, and organizational safeguards appropriate to the nature of the Service as described in Company's current security documentation.

However, no information system is completely secure.

Company does not warrant that unauthorized parties will never defeat security measures.

Customer is responsible for its own endpoint security, identity management, employee access controls, administrator permissions, and proper use of the Service.

31. Security Incidents

If Company confirms unauthorized access to Customer Data requiring notification under applicable law or contract, Company will provide notification consistent with its legal obligations and any applicable written agreement.

Customer agrees to cooperate reasonably in responding to security incidents involving Customer's accounts or systems.

32. Privacy

Company's collection and use of personal information is governed by its Privacy Policy, available at [URL].

Where required or mutually agreed, Company and Customer may enter into a Data Processing Addendum.

33. Data Retention

The Service may retain records for periods necessary to:

  • operate the Service;
  • comply with Customer configuration;
  • maintain audit history;
  • maintain backups;
  • comply with applicable law; or
  • satisfy contractual obligations.

Customer is responsible for determining applicable government-contract and accounting retention requirements.

Company does not guarantee that the Service's default retention period satisfies Customer's legal obligations.

34. Data Export and Account Termination

Customer should export information it is required to retain before terminating its account.

Company may provide data-export functionality as described in Service documentation.

Following termination, Company may delete Customer Data after a reasonable retention period except where retention is required by law or contract.

Backup copies may persist temporarily according to Company's backup practices.

35. Confidentiality

Each party may receive nonpublic confidential information from the other.

The receiving party will use reasonable care to protect confidential information and will use it only in connection with the parties' relationship.

Confidential information does not include information that:

(a) is publicly available without breach;

(b) was lawfully known without restriction;

(c) is lawfully received from another source without confidentiality obligations; or

(d) is independently developed without using the other party's confidential information.

A party may disclose confidential information where legally required, subject to applicable notice requirements.

36. Company's Intellectual Property

Company and its licensors own the Service, software, designs, interfaces, workflows, documentation, algorithms, models, trademarks, and related intellectual property.

These Terms grant Customer only a limited right to access and use the Service during the applicable subscription or permitted-use period.

No ownership rights are transferred.

37. Feedback

If Customer voluntarily provides product suggestions or feedback, Company may use that feedback without restriction or compensation, provided Company does not disclose Customer's confidential information in doing so.

38. Third-Party Trademarks

Names such as DCAA, DoD, DISA, DCMA, SAM.gov, USAspending.gov, Microsoft, Google, ADP, Deltek, Unanet, PROCAS, and other third-party names belong to their respective owners.

Use of third-party names within the Service does not imply affiliation, endorsement, sponsorship, or partnership.

39. U.S. Government Users

If the Service is acquired directly by or on behalf of the U.S. Government, additional federal acquisition terms may apply.

Commercial use of the Service by a government contractor does not itself create a contractual relationship between Company and the U.S. Government.

Unless expressly agreed otherwise, these Terms do not constitute an Authority to Operate, government license agreement, procurement contract, or authorization to process government-controlled information.

40. Suspension

Company may suspend access where reasonably necessary to:

  • prevent security threats;
  • investigate suspected misuse;
  • comply with law;
  • prevent fraud;
  • address nonpayment;
  • protect users or third parties; or
  • enforce these Terms.

Where appropriate, Company will attempt to notify Customer.

41. Termination

Either party may terminate use of free Services at any time.

Paid subscriptions are subject to applicable Order Forms or subscription terms.

Company may terminate access for material breach of these Terms if the breach is not cured within a reasonable period after notice, except where immediate termination is appropriate because of unlawful conduct, security threats, fraud, or similar circumstances.

42. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

COMPANY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT; AND
  • ACCURACY.

COMPANY DOES NOT WARRANT THAT:

(a) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;

(b) ALL DATA WILL BE ACCURATE;

(c) ALL COMPLIANCE ISSUES WILL BE IDENTIFIED;

(d) GOVERNMENT AUDITORS WILL ACCEPT RECORDS GENERATED BY THE SERVICE;

(e) USE OF THE SERVICE WILL MAKE CUSTOMER COMPLIANT WITH ANY LAW OR CONTRACT; OR

(f) AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.

43. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST CONTRACTS, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNTS PAID BY CUSTOMER TO COMPANY FOR THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR

(B) [$1,000 / OTHER AMOUNT] FOR CUSTOMERS USING ONLY FREE SERVICES.

These limitations apply regardless of the legal theory asserted.

44. Indemnification

Customer will defend, indemnify, and hold harmless Company, its affiliates, and their respective officers, directors, employees, and agents against third-party claims arising from:

(a) Customer Data;

(b) Customer's unlawful use of the Service;

(c) Customer's violation of these Terms;

(d) Customer's infringement of third-party rights;

(e) Customer's submission of data it lacked authority to provide;

(f) Customer's government billing or labor-charging practices; or

(g) Customer's violation of applicable law or contract.

45. Changes to the Service

Company may modify the Service over time.

Features may be added, changed, or removed.

Company will not be responsible for maintaining any particular feature indefinitely unless required by an applicable written agreement.

46. Changes to These Terms

Company may update these Terms.

If changes materially affect Customer's rights or obligations, Company will provide reasonable notice where required.

Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.

47. Governing Law

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law principles.

The parties agree that disputes will be resolved in the state or federal courts located in [COUNTY, STATE], unless the parties separately agree to arbitration or another dispute-resolution process.

48. Injunctive Relief

Nothing in these Terms prevents either party from seeking temporary or injunctive relief where necessary to protect intellectual property, confidential information, data, systems, or security.

49. Assignment

Customer may not assign these Terms without Company's written consent, except in connection with a merger, reorganization, or sale of substantially all assets where the assignee agrees to these Terms.

Company may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of its business or assets.

50. Severability

If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be interpreted as closely as legally permissible to its intended effect.

51. Waiver

Failure to enforce a provision does not waive the right to enforce it later.

52. Entire Agreement

These Terms, together with the Privacy Policy, applicable Order Forms, Data Processing Addenda, Security Addenda, and other agreements expressly incorporated by reference, constitute the agreement between Customer and Company regarding the Service.
